Your Group Could Be An Opening Act on Matthew Morrison’s 2011 tour
ELIGIBILITY AND SPONSOR: The Matthew Morrison Tour Contest (“Contest”) is comprised of a series of twenty-two (22) local contests for the opportunity to be an opening act on Matthew Morrison’s 2011 tour at one of twenty-two (22) local city venues listed in these official rules (“Local Venue”). Each Contest to be an opening act at a Local Venue (“Local Venue Contest”) is open to vocal groups of 3 to 30 members who all are legal U.S. residents of the United States and the District of Columbia, are at least 13 years or older as of the Contest start date, have Internet access prior to the Contest start date, live within one hundred and fifty (150) miles of that Local Venue, and otherwise qualify under these official rules (“Contestant”). CONTESTANTS WHO ARE NOT THE AGE OF MAJORITY IN THEIR STATE OF RESIDENCE MUST HAVE PERMISSION FROM THEIR PARENT OR LEGAL GUARDIAN PRIOR TO PARTICIPATING IN CONTEST. Contestants must not be connected to any major recording label or be otherwise obligated under contract with a third party that would prevent Contestant from its obligations in this Contest. Contest Entities reserve the right to disqualify the entire group at any time, during or after the Contest Period, if any member(s) of the group do not meet the eligibility criteria specified in these Rules, including if any member is under the age of 13 or if any minor member does not have parental consent to participate in this Contest. For purposes of these official rules, a group is considered a Contestant, regardless of the number of actual members in the group. This Contest is sponsored by AEG Live Productions LLC, 5750 Wilshire Blvd, Suite 501, Los Angeles, CA 90036 (“Sponsor”) and administered by M Fresh Touring LLC (“Administrator”) (collectively “Contest Entities”). Employees, officers, directors, majority shareholders, agents, representatives of Contest Entities, the legal, promotion and advertising agencies of any aforementioned entity, and their immediate family members (defined as spouse, mother, father, sisters, brothers, sons, daughters, uncles, aunts, nephews, nieces, grandparents and in-laws, regardless of where they live) and those living in their household (whether or not related), and each person or entity connected with the production or administration of the Contest, and each parent company, affiliate, subsidiary, agent and representative of any aforementioned entity are not eligible. This Contest is subject to these official rules and all applicable federal, state and local laws.
CONTEST DATES: Contest submission period begins on April 15, 2011 at 12:00 PM Pacific Standard Time (“PST”) and ends on May 25, 2011 at 11:59 PM PST (the “Contest Period”). ALL ENTRIES MUST BE SUBMITTED DURING THE CONTEST PERIOD. By participating, Contestants agree to be bound by these Official Rules and the decisions of the judges and/or Contest Entities, which are binding and final on matters relating to this Contest.
Only ONE Submission per group and per individual. A group may not enter more than one (1) Local Venue Contest. Contestants must register and create a YouTube account in order to submit an entry video. Registration is free.
HOW TO ENTER: Online Submissions only. Here is how to enter: (1) Visit www.matthewmorrison.com/Gleeclubcontest and follow the link to find the lyrics for Matthew Morrison’s song “Summer Rain” (2) Record a video of three (3) to four (4) minutes showing your group singing the song “Summer Rain” in a format compatible with YouTube. No musical instruments. Check the Submission Guidelines section of these rules for more information. Your interpretation can be as creative as you like within the parameters of the Submission Guidelines described in these Official Rules (see below). (3) Once you have created your masterpiece, designate one (1) group member (“Club Leader”) to submit the group’s Submission. To enter the group into the Contest, the Club Leader must have each group member’s name, date of birth, and email address and must follow these steps:
- Go to www.matthewmorrison.com/Gleeclubcontest and complete the entry form by entering all requested information, including Club Leader’s full name, zip code, email address, and telephone number, as well as each team member’s name, date of birth, and email address; and
- follow the link to submit your video;
- Select one (1) Local Venue tour date for which you are submitting your video and Upload your video (“Submission”), according to the directions on the screen.
The Club Leader and group members who are named in the online applications are collectively deemed the “Contestants.” No person is a Contestant unless his or her name, date of birth, and required contact information is provided during the entry process. Online Submissions must be received no later than May 25, 2011 at 11:59 PM PST as determined by the computer time on Contest Entities’ server. No other methods of delivery will be accepted, including submission by email, mail or hand delivery. Contest Entities reserves the right to disqualify any individual(s) or group(s) they find to be tampering with the entry process or the operation of the Contest or violating these Official Rules. All Submissions become the sole property of Contest Entities and will not be acknowledged or returned. Contest Entities not responsible for incomplete, late, lost, delayed, damaged, misdirected, incomplete, void, corrupted, garbled, illegible, or unintelligible submissions and those Submissions are void and will not be accepted; nor are Contest Entities responsible for any problems, bugs or malfunctions Contestants may encounter when seeking to enter their Submissions. Contestants are solely responsible for compliance with the YouTube terms and conditions. Submissions generated by a script, macro or other automated means will be disqualified. In the event a dispute regarding the identity of the individual or group who submitted an entry cannot be resolved to Contest Entities’ satisfaction, the affected submission will be deemed ineligible.

SUBMISSION GUIDELINES: In addition to the other terms and conditions contained in these official rules, your group’s Submission must be a 3 to 4 minute-video that shows you and your vocal group of 3 to 30 members actually singing Matthew Morrison’s song “Summer Rain” acapella in its entirety. The lyrics to Summer Rain are available at www.matthewmorrison.com/Gleeclubcontest. Your Submission may not include the playing of musical instruments. Your Submission must be the full song that is a minimum of 3 minutes in length, and must not be longer than 4 minutes in length total. Your interpretation should be creative, truthful, enthusiastic and compelling. No lip-synching, auto-tuning or use of other visual/audio processing technology or artifice. The video must be of a duration and visual/sound quality sufficient to ascertain the judging criteria set forth in these rules. Submissions accompanied with low quality recordings may be disqualified. Submissions may not feature anyone under the age of 13. Any minor child (13 to 17 years old) featured or shown in a Submission must have the consent from a parent or legal guardian to appear in the video and participate in this Contest.
By entering, Contestants warrant that their Submission does not infringe any third party’s rights, and that Contestants have obtained all necessary permissions from all participants or third-parties to submit the Submission, which Contestants will be required to submit if selected as potential winners. All videos must be original works of authorship, created by the group who submits the entry. Contestants may not copy or otherwise plagiarize the Submission from any source, nor may the video include any third-party copyrighted material (other than the song “Summer Rain”) such as music, photographs, or movie snippets, without the copyright holder’s permission. Contestants are granted a limited, revocable license to use the song “Summer Rain” for the sole purpose of participating in this Contest. You may make no other uses of the song, except with express, written permission of the Contest Entities. By entering, you warrant that your video does not infringe any third party’s rights, and that you have obtained all necessary permissions from all relevant third parties to submit the Submission (including without limitation, permission from your school if Contestant is a school vocal club such as a glee club). If, in the sole discretion of Contest Entities, your Submission constitutes copyright infringement or violates any right, the Submission will be disqualified. Contestants must hold all rights/permissions to the entire video Submission. Contestant must secure - and finalists will be required to submit – a written release from any actors and/or any other video participant to use their name, voice and likeness under the terms and conditions of these Official Rules. Any actors, music, voice-overs, or images contained in any Submission must be properly licensed, and evidence of such may be requested by Contest Entities at any time during or after the Contest Submission Period. Contestant agrees to indemnify Contest Entities against any and all claims from any third party for any use by Contest Entities of the Submission. Contestants may not be, nor may Contestant use parties who: 1) are represented under contract (e.g., by a talent agent or manager) that would limit or impair Contest Entities’ ability to show the video in any media form; 2) have an acting or modeling contract that would make their appearance in the Submission a violation of any third party rights; 3) are under a merchandising agreement; or 4) are under any other contractual relationship, including but not limited to guild and/or union memberships, that may prohibit them from participating fully in this promotion, or from allowing Contest Entities to use royalty-free, the Submission worldwide in all media in perpetuity.
No Submission may depict any nudity, animal cruelty, harmful, defamatory or illegal activity or substances, or offensive, obscene subject matter as determined in Contest Entities’ sole discretion. No video shall contain any legible trademark, logo or trade name. Contest Entities reserve the right to exclude any video that they believe doesn’t meet the above criteria, at our sole discretion.
JUDGING: All entries will be prescreened to insure the entries have correctly met the Submission Guidelines and meet with Contest Entities’ general standards and practices prior to any judging (“Qualified Submissions”). Any entries not deemed Qualified Submissions will be disqualified and you will not be notified.
At any time during or after the Contest Period, Contest Entities may, in their discretion, choose to post or distribute any Submissions, Contestants’ names and profile information online (including on Contest Entities’ websites, Facebook/Twitter pages and third-party websites) or on television for promotional and entertainment purposes only. Posting of this/these Submission(s) will not mean that said Submissions are eligible to win or are a Selected Contestant. Contestants understand that users of these websites may share, comment on (including negatively, sarcastically or humorously) and re-post or share their Submissions during and after the Contest Period.
PUBLIC VIEWING PERIOD: All Qualified Submissions and profiles will be posted on the relevant Local City YouTube channel for review, comments and possible ratings by the public. Use of bots, devices and other programs to increase views or votes is prohibited.
JUDGING ROUND: On or about the day following the Contest deadline, a panel of qualified judges will review and score all Qualified Submissions. Each Qualified Submission will be judged on a 100-point scale as follows: Creativity and Uniqueness (30 points), Sound and Rhythm Quality (30 points), Overall Performance of the Song (30 points), Video Quality (10 points).
Up to one (1) Contestant per Local Venue will be selected as potential winner (“Local Venue Selected Contestant”) from among all eligible entries using the judging criteria listed in these rules, for up to twenty-two (22) Local Venue Selected Contestants (collectively “Selected Contestants”). In the event that no entries receive a minimum score of 65 points, a Local Venue Selected Contestant may not be selected, in Contest Entities’ sole discretion. In the event of a tie in any round of the Contest, tying entries will be rescored.
NOTIFICATION AND RELEASES: No less than fourteen (14) days prior to the Local Concert date, Contest Entities will notify the Local Venue Selected Contestant, by phone or email, in Contest Entities’ discretion, using the contact information provided at the time of Submission. Each member of a Local Venue Selected Contestant group will be required to respond within 24 hours of attempted notification (“Notification”). Assumed notification by caller ID and any subsequent returned calls do not constitute a winner. At the time of Notification, the Selected Contestants will be provided detailed information as to where to go and what to do in order to perform in the Local Venue concert (“Local Concert”) listed in the Local City Schedule provided in these rules. The failure of any group member to respond timely to the notification may result in forfeiture of any prize for the entire group. In such case, Contest Entities may choose the next highest scoring entry from among the remaining eligible entries.
Selected Contestants will also be sent an affidavit of eligibility / liability / publicity release, and verification of copyright form (“Release”) using the contact information provided at the time of Submission. The Release must be signed and returned by each member of the Selected Contestant group (or by the member’s parent or legal guardian if he/she is a minor) within 72 hours of Notification. Unless restricted by law, each Selected Contestant will be required to complete and return the Release within the time period specified therein. The failure of any group member to timely return the signed Release, including any and all parental consents, may result in forfeiture of the prize for the entire group. The Release will include permission by the Selected Contestant to allow Contest Entities to use the Submission and videotapes of the live performances in any and all advertising and promotion throughout the world without additional compensation, unless prohibited by law. Should any members of the Selected Contestant group (or Selected Contestant’s parent or legal guardian if he/she is a minor) be unwilling or otherwise unable to provide such permissions and or releases, the entire Selected Contestant group will not be allowed to proceed and perform at Matthew Morrison’s Local Venue concert and another Selected Contestant may be selected, at Contest Entities’ sole direction and if time allows. All members of a Selected Contestant group must be available to travel to, and perform at, the Local Venue on the date provided in the Local City Schedule listed in these rules. In the event that a Selected Contestant (including any members of Selected Contestant group) is unable to travel as directed, an alternate Selected Contestant may be selected, at the sole discretion of Contest Entities.
Every member of a Selected Contestant group will be required to show proof of identification, residence and age, as well as provide copies of any and all parental permissions and other releases and permissions required under these rules. Except where prohibited by law, Selected Contestants must allow Contest Entities to use their name, hometown, likeness, voice and photograph for advertising, press and promotional purposes.
An alternate Selected Contestant may be randomly selected from among the remaining eligible Submissions if a Club Leader or any of the Selected Contestants: (i) cannot be reached; (ii) fails to obtain all signatures on the Release and to return the documents in a timely manner as required pursuant to these Official Rules; or (iii) cannot accept or receive the prize for any reason.
PRIZE: Up to one (1) Selected Contestant per Local City will have the opportunity to play live on stage as the opening act for Matthew Morrison’s concert in the Local City. No tickets to Matthew Morrison’s concert at the Local Venue concert will be provided. Selected Contestants are responsible for procuring their own transportation and for arriving at the Local Venue by the time provided by Contest Entities. All members of a Selected Contestant group may be required to be present at least three (3) hours prior to the start time of the concert. Contest Entities do not guarantee any sound check or rehearsal time. Selected Contestants must be able to perform for up to 15 minutes. Selected Contestants may submit a list of songs they want to perform, for Contest Entities’ prior review and approval in their sole discretion. Contestants who do not all show up, who are late or who are not ready at the appointed time provided them, will forfeit their opportunity to perform. The Selected Contestant must play at the venue listed in the Contest Schedule and may not substitute a different venue for any reason. Contest Entities or their agents reserve the right to require proof of age, eligibility and parental consent prior to the group going on stage and to disqualify any group in the event any member of the group does not meet an eligibility and/or selection criteria under these Rules. If a Local Venue concert is cancelled due to circumstances beyond the control of Contest Entities, Contest Entities will award the Selected Contestant group affected by the cancellation one (1) autographed picture of Mathew Morrison. Approximate Retail Value: ten dollars ($10.00).
If one or more members of the Selected Contestant group is/are under the age of 18 years old as of the start date of the Contest, the group must be accompanied at the Local Venue by one (1) adult guardian specifically designated and approved by each of the minor(s)’ parents or legal guardians.
Selected Contestants must be courteous, respectful and professional at all times, including during their performance. Selected Contestants may not bring any weapons, alcohol or non-prescription controlled substances at the Local Venue and must comply with all terms and conditions of the Local Venue. Selected Contestants may not bring friends or guests to the performance (except as expressly permitted in these Rules). Contest Entities reserve the right to disqualify and/or exclude, in their sole and absolute discretion, any Selected Contestant from any of the Local Venues for any reason or for no reason at all, including without limitation, violation of any portion of these Official Rules.
Selected Contestants cannot assign or transfer their prize to another person or entity. Selected Contestants are responsible for all costs and fees not specifically listed herein, including transportation to and from the Local Venue. No substitution, transfer or cash redemption of prize is allowed except at the discretion of Contest Entities. Selected Contestants not entitled to any surplus between actual retail value of prize and stated ARV and any difference between stated ARV and actual value of the prize will not be awarded. All activities related to the prize, are at the Selected Contestants’ own risk and subject to whatever restrictions are imposed by the entities that govern activities. Contest Entities are not responsible for any illness, harm or injury of any kind sustained by Selected Contestants, their parents or legal guardians as the result of participating in the Contest, performing live or using any part of any prize awarded.
CONDITIONS: Contest is subject to these Official Rules. By participating, Contestants agree: (i) to be bound by these complete Official Rules and the decisions of Contest Entities which shall be final and binding; and (ii) to waive any right to claim ambiguity in the Contest or these Official Rules, except where prohibited by law and (iii) to release the Contest Entities, including their parent, subsidiary and affiliated entities together with the respective directors, employees, officers, licensees, licensors and agents, and respective advertising and promotion entities and any person or entity associated with the production, judging, or administration of the Contest, (collectively, the “Releasees”) from any and all liability, loss or damage arising from or in connection with the Contest. By accepting a prize, Contestants (and, if Contestant is a minor, Contestant’s parent or legal guardian) agrees to release Releasees from any and all liability, loss or damage arising from or in connection with awarding, receipt and/or use or misuse of prize or participation in any prize-related activities. Releasees shall not be liable for: (i) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (ii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iii) any injuries, losses or damages of any kind, including death caused by the prize or resulting from acceptance, possession or use of a prize, or from participation in the Contest; or (iv) any printing, typographical, administrative or technological errors in any materials associated with the Contest. Contest Entities disclaim any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Contest. Contest Entities are not responsible and shall not be held liable, and your entry may be disqualified and may not be considered for any Prize, should your Submission be removed from any third-party video hosting site, such as YouTube, for any reason (including without limitation DMCA take-down), or should your Submission be unavailable for any reason during the Public Viewing Period.
Contestants are not eligible if they (1) are represented under any contract that would limit or impair Contest Entities’ ability to show any video or music performed or submitted in any media form; (2) have an acting or modeling contract that would make their appearance on stage a violation of any third party rights; (3) are under a merchandising agreement; or (4) are under any other contractual relationship, including but not limited to guild and/or union memberships, that may prohibit them from participating fully in this Contest, or from allowing Contest Entities to use royalty-free, the Submission worldwide in all media in perpetuity.
Selected Contestants may be filmed before, during, and after live performances and all Selected Contestants (and if Selected Contestants is a minor, his or her parent or legal guardian) hereby consent to the use of the Selected Contestants’ likeness, voice and image by Contest Entities for commercial or promotional purposes. Contest Entities are not responsible for weather problems, power shortages, or other malfunctions that might occur during performance. Contest Entities provide no guarantee that Selected Contestants will have an opportunity to perform should unforeseen circumstances arise. Contest Entities make no guarantees, explicit or implied, regarding the outcome of any round or the guarantee of any prize. Nothing in this Contest may be construed as an employment contract. CONTESTANTS WILL NOT BE PAID FOR THEIR SUBMISSIONS OR PERFORMANCE or for granting Contest Entities any of these rights.
As a condition for being allowed to enter the Contest and being considered for a prize, Contestants (and if Contestant is a minor, his or her parent or legal guardian) hereby provide a three-hundred sixty five (365) day exclusive irrevocable worldwide royalty free license to Contest Entities to use any and all videotaped footage (“Footage”) from any of the live performances, including the Local Venue performances, after which time, Contest Entities shall retain a perpetual non-exclusive royalty-free license to use the Footage in any and all media throughout the world, in perpetuity, for any purpose whatsoever, without any additional compensation, the term of which shall be the entire life of the copyright, as allowed by law. Contestants also hereby provide Contest Entities with a perpetual non-exclusive royalty-free license to use the Submission in any and all media throughout the world, in perpetuity, for any purpose whatsoever, without any additional compensation, the term of which shall be the entire life of the copyright, as allowed by law. Should any Contestant (and if Contestant is a minor, his or her parent or legal guardian) be unwilling or otherwise unable to enter into this license, or provide permissions and/or releases or otherwise cannot accept or receive the prize for any reason, or, in the sole discretion of Contest Entities, is unable to perform live, a Contestant with the next highest score may be chosen from the remaining entries as provided in these rules. All Contestants must provide Contest Entities with all signatures on required paperwork and return all documents in a timely manner as required pursuant to these Official Rules in order to be considered for a prize.
Local Venue locations, times and places, Matthew Morrison concert times and places and the Matthew Morrison tour are all subject to change with little or no notice and/or are subject to cancellation and, in the event of such cancellation the Contest Entities may cancel the Contest in its entirety or any one or all of the twenty two (22) Local Venue Contests. Contestants must be willing to travel on short notice. Any inability to make a live performance disqualifies Selected Contestants from receiving the prize.
Due to the nature of the prize, Contest Entities reserve the right to cancel or suspend the Contest in the event of any cancellation of any or all Local Venue Concerts or the tour, in their sole discretion and in such case Contest Entities will have no obligation to any Contestant. Contest Entities also reserve the right to cancel or suspend the contest should they receive fewer than 10 entries in any Local City or receive no entries that have a judged score lower than the minimum acceptable points, should a Local Venue Concert be cancelled for any reason, or due to circumstances beyond their control, including natural disasters and illness or such incapacity of Matthew Morrison and/or his band members that make it commercially unreasonable for him to perform. Contest Entities may, in their sole discretion, cancel, modify or suspend the Contest (or any portion thereof) should a virus, bug, computer problem, unauthorized intervention or other causes beyond Contest Entities’ control, corrupt the administration, security or proper uploading of Submissions. In the event of a cancellation or suspension of the Contest for any reason, Contest Entities will have no further obligation to entrants. Contest Entities may prohibit a Contestant from participating in the Contest or winning a prize if, in its sole discretion, it determines such Contestant is attempting to undermine the legitimate operation of the Contest by cheating, deception, or any other unfair playing practices of intending to annoy, abuse, threaten, undermine or harass any other players or Contest Entities’ representatives. Use of automated entry devices or programs is prohibited. Any attempts to access the site, enter the Contest or increase votes or views via a bot script, device or brute-force attack will result in disqualification, including that IP address becoming ineligible for the entire Contest. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE CONTEST. SHOULD SUCH AN ATTEMPT BE MADE, CONTEST ENTITIES RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
Disputes regarding these Official Rules and/or this Contest will be governed by the internal laws of the State of California.
PUBLICITY: Contest Entities reserves the right to use the Submissions to the Contest for publicity purposes prior to or after the Contest end date, in any media, and to use the name, voice, likeness, hometown name, of any Contestants, including all or part of their Submission and any Footage throughout the world, without any compensation or prior review unless specifically prohibited by law. Taxes, if any, are the sole responsibility of any prize winner, and Contestants may be issued an IRS Form 1099 for the ARV of any awarded prize. This Contest is void outside the U.S. and where prohibited or restricted by law, and subject to applicable federal, state provincial and local laws.
PRIVACY: All personal information collected by Contest Entities will be used for administration of the Contest and in accordance with Contest Entities’ individual privacy policy, which may include commercial email solicitation.
